1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the platform, websites, APIs, and services (collectively, the "Services") provided by Globopay Technologies Limited ("Globopay", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms.

2. Use of Platform and Services

You may use the Services only in compliance with these Terms and all applicable laws. You are responsible for maintaining the confidentiality of API credentials, accounts, and any activity occurring under them. You agree not to misuse the Services, including by interfering with their normal operation, attempting unauthorized access, or using the Services to facilitate unlawful, fraudulent, or sanctioned activities.

3. Payment Processing Disclaimer

Globopay provides infrastructure that connects users to third-party payment providers, banks, mobile money operators, and clearing systems. Settlement times, foreign exchange rates, fees, and transaction outcomes may depend on these third parties and on factors outside our control. While we endeavour to ensure accurate and timely processing, Globopay does not guarantee the performance of any underlying payment provider or rail.

4. Limitation of Liability

To the maximum extent permitted by law, Globopay, its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Services. Our total aggregate liability for any claim shall not exceed the fees paid by you to Globopay during the twelve (12) months immediately preceding the event giving rise to the claim.

5. Intellectual Property Rights

All software, APIs, documentation, trademarks, logos, designs, and other materials made available through the Services are the property of Globopay or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely as permitted under these Terms. No other rights are granted by implication or otherwise.

6. Service Availability and Uptime

While Globopay targets high availability for its platform, the Services are provided on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Scheduled maintenance, third-party outages, or events of force majeure may temporarily affect availability.

7. Compliance

You agree to comply with all applicable anti-money laundering ("AML"), counter-terrorist financing ("CTF"), know-your-customer ("KYC"), sanctions, data protection, and payment regulations in any jurisdiction in which you operate. Globopay may suspend or terminate access where compliance risks are identified.

8. Suspension and Termination

Globopay may suspend or terminate your access to the Services at any time for breach of these Terms, suspected fraud, regulatory concerns, or where required by law. You may terminate your use of the Services at any time, subject to settlement of outstanding obligations.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Zambia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Zambia.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the platform or by email. Continued use of the Services following any update constitutes acceptance of the revised Terms.
